Terms of Service

Please read these Terms of Service carefully before using the services provided by Berd-i & Sons Software Design. By engaging our services, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations of the United Arab Emirates. If you do not agree with any part of these terms, you may not use our services.

2. Description of Services

Berd-i & Sons Software Design provides professional software development, maintenance, and consulting services from our Dubai office, including but not limited to:

• Custom software development (web, mobile, and enterprise applications)
• AI and machine learning solutions
• FinTech and eCommerce platform development
• System integration and API development
• Technical consulting and architecture design
• Ongoing maintenance and support services

3. Service Agreements

All projects are governed by individual service agreements or statements of work that specify the scope, timeline, deliverables, and pricing. These agreements form part of these Terms of Service. In case of any conflict, the specific service agreement shall prevail.

4. Intellectual Property Rights

Unless otherwise specified in a separate written agreement:

• Upon full payment, clients receive ownership of custom code developed specifically for their project
• We retain ownership of proprietary frameworks, libraries, and tools used in development
• Pre-existing intellectual property remains with its original owner
• Third-party software and libraries are subject to their respective licenses
• Our name, logo, and branding remain our exclusive property

5. Confidentiality

We maintain strict confidentiality regarding all client information, business data, and project details in accordance with UAE Federal Decree Law No. 45 of 2021 on Personal Data Protection. Our confidentiality obligations survive the termination of any business relationship for a period of five (5) years.

6. Payment Terms

Standard payment terms (unless otherwise agreed in writing):

• All prices are quoted in UAE Dirhams (AED) unless otherwise specified
• 30% upfront payment required before project commencement
• Progress payments as specified in the project agreement
• Final payment due upon project completion and acceptance
• For ongoing services: Net 15 payment terms from invoice date
• Late payments may incur a charge of 1.5% per month on outstanding amounts
• All payments are subject to applicable UAE VAT (currently 5%)

7. Project Changes and Scope

Any changes to the agreed project scope must be documented in writing through a change request process. Additional work outside the original scope will be quoted separately and requires client approval before implementation.

8. Warranties and Support

We provide a 90-day warranty period from project delivery, during which we will fix any bugs or defects in the delivered software at no additional cost. Extended support and maintenance services are available under separate agreements.

9. Limitation of Liability

To the maximum extent permitted by UAE law, our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific services in question. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

10. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, or internet service disruptions.

11. Termination

Either party may terminate services with 30 days written notice. In case of termination:

• Client shall pay for all work completed up to the termination date
• We will deliver all completed work and project materials
• Confidentiality obligations continue to apply
• Any prepaid amounts for undelivered work will be refunded within 30 days

12. Governing Law and Dispute Resolution

These terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE. The parties agree to first attempt to resolve any dispute through good faith negotiations before pursuing legal remedies.

13. Compliance

We conduct our business in compliance with all applicable UAE laws and regulations, including the UAE Commercial Companies Law, Electronic Transactions and Commerce Law, and Federal Decree Law on Personal Data Protection.

14. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services after any changes constitutes acceptance of the new terms. Material changes will be communicated to existing clients via email.

15. Severability

If any provision of these terms is found to be unenforceable or invalid under UAE law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
